Egypt-based private equity firm B Investments Holding is advancing plans to deepen its footprint in the country’s fast-growing food and beverage sector through a phased acquisition of Brown Nose Coffee.

The transaction is structured to give the investment group majority control over time, underscoring its confidence in Egypt’s expanding consumer market.

Phased deal to secure majority control
According to Asharq Business, B Investments intends to acquire a controlling stake exceeding 50% in Brown Nose Coffee.

The deal will begin with the purchase of roughly 25% for about EGP350 million ($7.18 million). Subsequent tranches are expected to follow, gradually lifting the firm’s shareholding beyond the 50% threshold and granting it majority control.

The phased structure provides flexibility, allowing B Investments to evaluate operational performance before scaling up its ownership. At the same time, it enables Brown Nose Coffee to continue executing its growth strategy without the immediate pressures of full ownership consolidation.

Expanding a vertically integrated coffee brand
Founded in 2019, Brown Nose Coffee operates an integrated model spanning the import of green coffee beans, local roasting, retail outlet management, and supply chain services. The company also offers industry training, positioning itself not only as a retailer but as a value-chain player in Egypt’s evolving coffee ecosystem.

The acquisition aligns with B Investments’ broader capital deployment strategy, which targets between EGP 2 billion ($41 million) and EGP 3 billion ($61.54 million) in investments across priority sectors. Food manufacturing sits at the core of this strategy, alongside education and healthcare.

Portfolio diversification and capital markets activity
B Investments maintains a diversified portfolio across real estate development, energy, financial services, and technology. Its investment approach focuses on identifying scalable businesses in high-growth segments of the economy.

The firm recently demonstrated its capital markets capability by listing its subsidiary Gourmet on the Egyptian Exchange, raising EGP 1.32 billion ($27.1 million) through a minority stake sale.

The planned Brown Nose Coffee acquisition signals growing institutional confidence in Egypt’s branded retail and local production models, as private equity capital continues to flow into scalable consumer-focused businesses.
