OCI Global finalizes sale of ammonia unit to AGROFERT in $335 million deal

OCI Global, the nitrogen and methanol producer backed by Egyptian billionaire Nassef Sawiris, has completed the sale of its ammonia business to AGROFERT in a $335 million transaction, marking another step in the group’s ongoing portfolio reshaping strategy.

Ownership transfer signals portfolio streamlining
The €290 million ($335 million) transaction covers OCI’s entire equity stake in OCI Ammonia Holding B.V. (OCI AH), which includes its ownership of OCI Terminal Europoort B.V., an ammonia import and storage facility in Rotterdam, as well as OCI Ammonia Distribution B.V. 

While OCI exits direct ownership, the company will retain operational continuity through its subsidiary OCI Nitrogen, which will continue to access the Europoort terminal under a throughput agreement. 

This ensures an uninterrupted ammonia supply to its Geleen production facility even after the divestment. Net proceeds from the deal remain subject to customary closing adjustments, but the transaction reinforces OCI’s broader strategy of unlocking value from non-core assets while maintaining critical supply chain access.

AGROFERT strengthens foothold in European chemicals logistics
For AGROFERT, the acquisition deepens its position as one of Europe’s leading nitrogen fertilizer producers, enhancing its logistics infrastructure and distribution reach. The Rotterdam terminal offers strategic access to global ammonia flows, strengthening supply chain efficiency and positioning the group more competitively within Europe’s energy and chemicals ecosystem. 

Headquartered in the Czech Republic, AGROFERT has built a diversified industrial footprint spanning more than 20 countries. The group ranks as the second-largest nitrogen fertilizer producer in Europe and remains a major player in Central Europe’s food and agricultural sectors.

Next phase for OCI Global as AGROFERT expands
With Nassef Sawiris holding a 38.8% stake, OCI Global has evolved into a global industrial heavyweight, operating across four continents with an annual production capacity of 17.2 million metric tonnes. The ammonia divestment aligns with OCI’s broader push toward capital discipline and portfolio optimization, as it reallocates resources toward higher-return segments such as nitrogen fertilizers, renewable fuels, and industrial chemicals.

Meanwhile, AGROFERT, employing nearly 29,000 people across sectors including chemicals, agriculture, food production, forestry, logistics, and renewable energy, continues to expand its vertically integrated model. The acquisition of OCI’s ammonia assets reinforces its ambition to strengthen its position across the nitrogen value chain while extending its influence across key European markets.
