Kenya Tribunal orders taxman to review $14 million tax dispute involving Transmara Sugar

The Tax Appeals Tribunal in Kenya has ruled against the taxman, Kenya Revenue Authority (KRA), for misinterpreting financial data in a high-stakes tax dispute involving Transmara Sugar Company, ordering a fresh review of the firm’s Ksh1.8 billion ($14 million) tax-loss claim.

The tribunal found that KRA misinterpreted financial data, erroneously treating projected average earnings as undeclared sales, which denied the sugar producer critical tax reliefs.

Dispute over tax-loss carry forward
Transmara Sugar, majority-owned by Alteo Limited and partially held by Mauritian conglomerates IBL Limited and CIEL Agro Limited, had requested an extension of the carry-forward of Ksh1.84 billion ($14 million) in accumulated losses beyond the statutory 10-year limit from 2011, a position initially rejected by KRA. 

The tribunal’s decision now compels the tax authority to reassess the claim, offering the company a potential reprieve after months of regulatory contention. The ruling underscores growing scrutiny of tax assessments in Kenya, particularly where methodological errors may significantly impact corporate tax obligations.

As of August 2022, Alteo increased its stake in the company to 69.2%, following a Ksh973 million ($7.51 million) investment aimed at restructuring the miller’s ownership.

Strategic role in Kenya’s sugar industry
Established in 2011 and based in Narok County, Transmara Sugar produces the widely distributed “Mara Sugar” brand, a key player in Kenya’s domestic sugar market.

Operating from Enoosaen, the company accounts for an estimated 15 to 20% of locally produced sugar sold in Kenya, reinforcing its position as a major contributor to the country’s agro-processing sector.

The tribunal’s directive marks a critical moment for Transmara Sugar, as a favorable reassessment could strengthen its financial standing while highlighting the importance of accurate tax administration in Kenya’s corporate landscape.
