Combined Motor Holdings Limited (CMH), a South African automotive retail and distribution group listed on the Johannesburg Stock Exchange (JSE), has appointed MI Pitso as a non-executive director, replacing Hlengiwe Spencer effective October 16, 2026.

According to a regulatory announcement released on October 9, 2026, the appointment follows Hlengiwe Spencer’s resignation, previously announced on September 23, 2026. Pitso will also join CMH’s social, ethics and transformation committee, replacing Hlengiwe Spencer on the board committee.

Thebe Investment Corporation nominates new director

Pitso’s appointment follows a shareholders’ agreement between CMH and its empowerment partner, Thebe Investment Corporation, which gives Thebe the right to nominate two non-executive directors to CMH’s board.

Thebe’s current nominees are Hlengiwe Spencer and RT Komane. With Hlengiwe Spencer’s departure, Pitso will assume his position, maintaining Thebe’s representation on the automotive group’s board. CMH said its board had completed the required fit-and-proper assessment under the JSE Listings Requirements and was satisfied with the outcome.

The company also confirmed that there were no positive statements to report regarding the integrity information contained in Pitso’s director declaration.

Shareholders to consider appointment in 2027

The appointment will be submitted to shareholders for approval at CMH’s next annual general meeting in 2027, in accordance with the applicable listing requirements.

The board change comes as CMH maintains its governance structure through its partnership with Thebe, which holds nomination rights under the existing shareholders’ agreement.

The appointment takes effect on October 16, 2026, subject to the company’s stated process for subsequent shareholder approval. CMH announced the appointment from Durban on October 9, with PricewaterhouseCoopers Corporate Finance serving as the company’s sponsor.
