Putprop secures extension to finalize two major property sales

Putprop Limited, the South African property investment company, has received regulatory approval to delay the distribution of its shareholder circular tied to a series of significant property transactions, as it works to finalize complex financial disclosures.

The company confirmed that the Johannesburg Stock Exchange (JSE) has granted an extension, allowing the circular to be distributed by no later than August 21, 2026. The document relates to Putprop’s planned disposal of its interests in the Mamelodi Square Enterprise and the Dobsonville Property, alongside its acquisition of the Kramerville Letting Enterprise.

Putprop’s transaction update
The disposals and acquisition, collectively referred to as the Transactions, were first announced in late May and early June 2026. Each transaction qualifies as a Category 1 deal under JSE Listings Requirements, meaning shareholder approval is mandatory and requires the publication of a detailed circular.

To streamline the process and reduce administrative costs, Putprop opted to consolidate all transaction-related disclosures into a single circular rather than issuing multiple documents. This combined circular must comply with strict regulatory provisions governing property entities and financial reporting.

However, the scope of the transactions has required extensive financial preparation. This includes special-purpose carve-out financial statements for the Mamelodi Square and Dobsonville properties, forecast financials for the Kramerville Letting Enterprise, and pro forma financial effects reflecting the overall impact of the transactions.

Mamelodi Square Enterprise is co-owned by Exemplar REITail Limited and originally developed by McCormick Property Development (whose ultimate beneficial owner is the John McCormick Family Trust).

Regulatory approval and next steps
Acknowledging the complexity of the process, the JSE approved Putprop’s request for additional time, extending the original 60-day deadline stipulated under listing rules.

The company has assured shareholders that the circular will be distributed within the revised timeframe, with further details—including key dates for the general meeting and voting—expected to be announced on the Stock Exchange News Service (SENS) in due course.
