Geomer Investments, a family-controlled investment firm linked to South African businessman Marcel Golding, has increased its stake in Vunani Ltd to more than $5 million, crossing the key 20% ownership threshold and strengthening its influence within the financial services group.

The move comes despite a recent decline in Vunani’s share price, which fell by 7.06% from R269 to R250, reflecting broader market pressure on the diversified financial services company.

Marcel Golding’s Geomer strengthens position in Vunani

According to a regulatory filing, Geomer Investments (Pty) Ltd acquired an additional 1.95% stake in Vunani, raising its total beneficial interest from 18.64% to 20.59% of issued ordinary shares.

The expanded holding is now valued at approximately R82.8 million (over $5 million), marking a significant milestone for the family-controlled investment firm, which has steadily increased its stake over time.

Crossing the 20% threshold enhances Geomer’s strategic influence and positions it as one of the most significant shareholders in the company.

Share price decline contrasts with investor confidence

The increase in Geomer’s stake comes at a time when Vunani’s share price has experienced downward pressure. The decline reflects investor caution around market conditions, yet Geomer’s continued accumulation suggests confidence in the company’s long-term prospects.

Vunani operates across asset management, corporate finance, and securities trading, making it a key player in South Africa’s financial services sector.

Regulatory compliance and disclosure

Vunani confirmed that the transaction was disclosed in accordance with Section 122 of South Africa’s Companies Act and the JSE Listings Requirements.

The company also filed the necessary notice with the Takeover Regulation Panel, as required when shareholders cross specified ownership thresholds designed to ensure transparency and protect minority investors.

In a statement, Vunani’s board of directors affirmed responsibility for the accuracy and completeness of the disclosure.

Strategic implications for Vunani

Geomer Investments, founded in 1995 and controlled by Marcel Golding, focuses on long-term capital growth. Its increased stake signals stronger backing from a committed shareholder and may provide stability to Vunani’s ownership structure. Its founder, Marcel Golding, who is a South African multimillionaire, was suspended in October 2014 as executive chairman of Hosken Consolidated Investments became chairman in 1997.

The presence of a larger anchor investor could support the company’s growth strategy while attracting closer market attention to future developments in its governance and shareholding dynamics.

As competition intensifies within South Africa’s financial sector, such ownership shifts are likely to remain a key indicator of strategic direction and investor confidence.
