Orascom Investment Holding approves $10 million loan, Naguib Sawiris-led board

Orascom Investment Holding, the Egyptian investment company led by billionaire Naguib Sawiris, has approved a shareholder loan of up to $10 million and elected a new board for a three-year term, giving the group additional financing flexibility and a renewed governance mandate.

The resolutions were approved at the company’s Ordinary General Assembly on August 17, 2026, where shareholders also ratified the company’s 2025 financial statements, corporate governance report and Board of Directors’ resolutions.

Shareholders approve $10 million financing

The shareholder loan, capped at $10 million, was approved by holders of 416.04 million shares, representing 100% of the shares entitled to vote after excluding approximately 2.74 billion shares held by a related party.

The Managing Director was authorized to sign the loan agreement and related documents and request drawdown of the approved amount.

The financing gives Orascom Investment Holding access to additional shareholder-backed liquidity, although the company’s subsequent disclosures will determine whether it draws the full facility or only part of the approved amount.

Three-year board led by Naguib Sawiris

Shareholders unanimously elected a new Board of Directors for a three-year term, with Naguib Onsi Sawiris continuing to lead the investment group.

The board includes Marwan Mohamed Hussein and Hassan Moustafa Abdou, both representing OTMT Acquisition S.à r.l., alongside Akil Hamed Beshir, Iskandar Shalaby Naguib Rizk Shalaby, Wafaa Shoukry Zaklama, Manal Talaat Abdel Hamid, Tarek Ahmed Abdelkader Elmollah and Ahmed Mahmoud Othman Darwish.

Elmollah and Darwish were designated as independent board members. Shareholders also approved remuneration and allowances for the chairman, board members and members of the Audit Committee and Investment Committee.

Board receives wider financing powers

Beyond the shareholder loan, the assembly authorized the board to enter into loan and mortgage agreements and issue guarantees to lenders and other parties contracting with Orascom Investment Holding and its majority-owned subsidiaries. The board was also authorized to enter into related-party agreements with majority-owned subsidiaries.

The broader powers could give the company greater flexibility to arrange financing and provide security as it manages funding requirements across its investment portfolio.

2025 accounts receive shareholder approval

The general assembly was held by video conference, with 3.16 billion shares represented, equivalent to approximately 60.23% of Orascom Investment Holding’s total share capital of 5.25 billion shares.

The meeting therefore met the required legal quorum. Shareholders unanimously ratified the Board of Directors’ report, auditor’s report, financial statements and profit and loss accounts for the year ended December 31, 2025. They also approved the company’s Corporate Governance Report for 2025 and ratified Board resolutions adopted during 2024 and 2025 up to the date of the assembly.

Governance and capital structure in focus

Mohamed Hassan Youssef of Hazem Hassan and Partners was appointed as the company’s auditor for 2026, with annual audit fees set at EGP2.1 million ($41,410). Shareholders also authorized the board to approve donations of up to EGP3 million ($59,167) during 2026 and to make amendments required by administrative authorities in connection with the assembly’s resolutions.

The latest approvals give Orascom Investment Holding a three-year board mandate under Sawiris while providing access to additional shareholder financing and broader authority to arrange debt, issue guarantees and transact with majority-owned subsidiaries.

The next key development will be how the company deploys the approved $10 million facility and exercises its expanded financing powers as it advances its investment strategy.
