DHL Supply Chain, part of DHL Group, is deepening its transport-led logistics capabilities in South Africa after securing approval to acquire three companies from the Vital Group. The move underscores a broader strategy to scale operations across Sub-Saharan Africa’s fast-evolving retail ecosystem.

The deal, cleared without conditions by South Africa’s Competition Tribunal, includes Vital Distribution Solutions, Staffing Logistics, and Vital Fleet. The businesses will continue operating as subsidiaries of DHL Supply Chain, preserving existing client relationships while benefiting from global scale.

Scaling capacity and market reach

South Africa’s retail sector remains highly fragmented, spanning formal supermarket chains, wholesalers, independent retailers, and township markets. For global logistics players, this complexity presents both a challenge and an opportunity.

The acquisition significantly expands DHL’s operational footprint, adding capacity across road transport, warehousing, fleet management, and workforce solutions. It also delivers immediate route density and local agility, capabilities that would take years to build organically.

Bremer Pauw, chief commercial officer for the Middle East and Africa and managing director for Africa at DHL Supply Chain, said the integration strengthens market access for clients.

“This acquisition gives our customers, and Vital’s customers, a stronger platform from which to grow,” Pauw said. “By combining Vital’s reach with DHL’s scale and systems, we are enabling more consistent product distribution across every relevant retail tier.”

Aligning with Africa growth strategy

The deal underscores DHL Group’s long-term strategy to deepen its African logistics footprint, with a sharp focus on fast-growing consumer markets. As supply chains across the continent evolve, demand for integrated logistics solutions is surging, fueled by rapid urbanization, the expansion of e-commerce, and rising household consumption.

DHL Supply Chain, the group’s contract logistics arm, ranks as the world’s leading provider in its segment. It delivers tailored, end-to-end logistics solutions spanning warehousing, transportation, and value-added services designed to enhance operational efficiency and competitiveness. The division is also advancing key priorities around digital transformation, environmental sustainability, including a net-zero emissions target, and workforce leadership.

Vital Distribution Solutions, part of Vital Group, is a leading transport logistics provider in South Africa with more than 25 years of industry experience. The company specializes in fast-moving consumer goods (FMCG) distribution, with capabilities in temperature-controlled transport, dedicated fleet operations, and advanced logistics services.

Backed by a nationwide network, the company provides integrated transport logistics, specialized warehousing, and fleet management solutions, serving sectors such as retail, manufacturing, and industrial operations.
