South Africa’s Vukile raises $168 million for Italy expansion

Vukile taps strong investor demand to fund Italy retail expansion as European assets drive earnings growth.

South Africa’s Vukile Property Fund has raised R2.8 billion ($168 million) through a fresh equity offering on the Johannesburg Stock Exchange, marking the largest capital raised by a JSE-listed real estate investment trust in five years.

The accelerated bookbuild, launched late Monday, drew strong institutional demand as the retail-focused property group unveiled plans to enter the Italian market, extending its growing European footprint beyond Spain and Portugal.

“Following strong institutional demand, Vukile is pleased to announce the successful placement of 9% of the company’s market capitalisation,” the group said, adding that about 123 million new ordinary shares were issued in the transaction.

Italy acquisition signals next growth phase

The proceeds will primarily fund Vukile’s first acquisition in Italy, three shopping centres with a combined gross asset value of €115 million ($133.3 million). The move positions the company to deepen its exposure to defensive retail assets across Southern Europe.

Management said the remaining capital would strengthen the group’s balance sheet and provide flexibility to pursue additional acquisitions in South Africa and Europe.

The latest raise follows another R2.65 billion ($159 million) equity fundraising completed in October last year, underscoring investor confidence in the company’s expansion strategy despite volatile global property markets.

Europe now central to earnings

Vukile, South Africa’s third-largest listed REIT, manages property assets valued at about R54 billion ($3.37 billion). Nearly two-thirds of its portfolio and net property income are now generated in Spain and Portugal through its majority-owned subsidiary, Castellana Properties.

The company owns a 99.5% controlling stake in Castellana, whose portfolio includes high-profile retail assets such as the Bonaire Shopping Centre, Splau and Islazul shopping centres.

The Italian expansion highlights how European retail property has become a key earnings driver for Vukile as South African REITs increasingly seek offshore growth opportunities, stronger consumer markets and euro-denominated income streams.

With institutional investors continuing to back its strategy, Vukile is positioning itself as one of Africa’s most internationally diversified retail property groups.
