Harmony Gold, South Africa’s largest gold producer chaired by billionaire Patrice Motsepe, has appointed two independent non-executive directors as the mining company strengthens its board oversight and corporate governance.

In a regulatory announcement on Friday, October 16, 2026, Harmony Gold said Alwyn Pretorius and James Boardman joined its board effective October 15. The company confirmed that both appointments meet the Johannesburg Stock Exchange’s independence requirements and that the required fit-and-proper assessments had been completed satisfactorily.

Former mining executive returns to Harmony

Pretorius is a qualified engineer with extensive international mining experience. He previously held senior positions at Newmont Corporation, including regional senior vice president for Africa and South America and managing director of Papua New Guinea.

Before joining Newmont, Pretorius held several executive positions at Harmony between 2006 and 2015, including chief operating officer, giving him direct experience of the company’s operations and leadership structure.

Boardman, a Chartered Financial Analyst, brings experience spanning capital markets, private equity and corporate advisory. His career includes roles at the Johannesburg Stock Exchange, Bain & Company and private capital investment firms, with expertise in valuation, risk management and corporate governance.

Harmony Gold said its assessments found both directors suitable for their appointments and confirmed that there were no positive statements to report regarding integrity information in their respective directors’ declarations.

Motsepe highlights governance and growth

Harmony Gold chairman Patrice Motsepe said the appointments would strengthen the board’s oversight capabilities and support the company’s international competitiveness.

He added that the directors’ combined experience would contribute to Harmony’s focus on safety, operational excellence, disciplined growth and long-term value creation.

Appointments follow $8.7 million executive share sales

The board changes come days after Harmony Gold disclosed that its chief executive and nine other senior executives sold approximately R144 million ($8.68 million) worth of vested shares under the company’s 2018 Deferred Share Plan.

According to a Johannesburg Stock Exchange regulatory filing published on October 7, the company’s directors, prescribed officers and company secretary sold a combined 495,775 ordinary shares in on-market transactions on October 2, 2026.

The shares were sold at a volume-weighted average price of R290.4505 ($17.48) each, with individual transactions executed at prices ranging from R287 ($17.27) to R295.29 ($17.77). The transactions followed the vesting of deferred share awards and were disclosed through the exchange’s regulatory reporting system.

The latest appointments add mining leadership and financial expertise to Harmony Gold’s board as the company pursues operational performance, international competitiveness and long-term shareholder value.
