Remgro Limited, the South African investment holding company chaired and controlled by billionaire Johann Rupert, has announced changes to its Audit and Risk Committee, with Deputy Chairman Sonja de Bruyn set to retire from the committee at the end of November 2026.

In a regulatory filing, Remgro said Sonja De Bruyn would step down from the committee effective November 30, 2026, the date of its annual general meeting, and would not stand for re-election. She will, however, remain on the board as deputy chairman and continue serving on the Social and Ethics Committee.

Remgro maintains governance compliance

The Stellenbosch-based investment holding company confirmed that the committee’s composition would remain compliant with South Africa’s Companies Act, JSE Listings Requirements and the recommendations of the King V Report on Corporate Governance for South Africa, 2025.

Sonja De Bruyn, 54, was appointed to Remgro’s board on March 16, 2015. She serves as deputy chairman and lead independent director and chairs the Audit and Risk Committee. She is also a member of the Social and Ethics Committee and the Remuneration and Nomination Committee.

Sonja de Bruyn brings extensive investment experience

Sonja De Bruyn has 28 years of transaction and corporate finance experience spanning mergers and acquisitions, private equity and investment activities in South Africa and international markets.

She co-founded Identity Partners, a woman-led investment firm, and previously served as an executive director of Women’s Development Bank Investment Holdings. She also worked as a vice president at Deutsche Bank, holding positions across its Johannesburg, London and Tokyo offices.

With 23 years of board-level experience, De Bruyn currently serves as a non-executive director of RMB Holdings Limited. She chairs TotalEnergies Southern Africa and 10X Asset Managers.

Her previous board appointments include Rand Merchant Insurance Holdings, Discovery Group, FirstRand Bank, Anglo American Platinum and Ethos Private Equity.

Johann Rupert’s enduring leadership in Remgro

Founded in the 1940s by Rupert’s father Anton, Remgro has evolved into one of South Africa’s largest investment groups with holdings across healthcare, consumer goods, insurance, industrials, infrastructure, media and sports. With a net worth of $19.4 billion, Johann Rupert, who also chairs the company, holds more than 40% of voting rights and remains the country’s richest man.

Beyond her corporate responsibilities, De Bruyn serves on President Cyril Ramaphosa’s Advisory Council on Investment and previously sat on JPMorgan’s Europe, Middle East and Africa Advisory Council.

Her departure from the Audit and Risk Committee marks a change in Remgro’s governance structure, although she will retain her board leadership responsibilities and continue contributing to the group’s social and ethics oversight.
