MNT Tech Holding for Financial Investments, the parent company of Egyptian fintech group MNT-Halan, has approved a capital increase of EGP 16.33 million ($290,609) following a public and/or private share offering, raising its issued capital to EGP 176.33 million ($3.14 million).

The company’s board approved the increase at a meeting on October 26, 2026, according to the meeting minutes. The company will implement the capital increase by issuing 163.27 million shares at a final offering price of EGP 24.5 ($0.43) per share, with MNT Investments B.V., the company’s principal shareholder, eligible to subscribe.

The increase follows a resolution adopted at an extraordinary general assembly on September 16, 2026, which authorized a cash capital increase linked to the offering.

MNT Investments B.V. to subscribe for new shares

Under the approved arrangement, MNT Investments B.V. will be the sole subscriber to the new shares, at the same final price established for the offering. Investors purchasing shares through the offering will not be eligible to participate in the capital increase.

The board approved raising issued capital from EGP 160 million ($2.85 million) to EGP 176.33 million ($3.14 million), divided into 1,763,265,306 shares, while the company’s authorized capital will remain unchanged at EGP 200 million ($3.56 million). Foreign shareholders will hold approximately 80.47% of the company following the offering, with the remaining shares held by other investors.

Following the increase, the issued capital will comprise approximately 1.76 billion ordinary registered shares, each with a nominal value of EGP 0.1. The company said the capital increase had been fully paid, with a bank certificate from Commercial International Bank serving as evidence of payment.

MNT Investments B.V. is listed as the principal shareholder, alongside GB Capital for Financial Investments S.A.E. and shareholders participating in the offering. However, the stated premium of EGP 3.98 billion ($70.86 million) requires verification against the original filing.

Executives and lawyers authorized to complete procedures

The board authorized its chairperson to sign the amended articles of association, incorporate changes requested by regulators, and complete the capital-increase procedures.

Chief Financial Officer Omar Ashraf Fathy Bibars was authorized to sign the application for the bank certificate, while Bibars and Group Chief Technology Officer Ahmed Mohsen Mohamed Soliman may collect the capital-increase proceeds from the bank.

The chairperson or the chief executive officer and managing director may also sign the required documents for Egypt’s Financial Regulatory Authority, the Egyptian Exchange and Misr for Central Clearing, Depository and Registry.

The board further authorized lawyers from Matouk Bassiouny & Hennawy to obtain regulatory approval for the meeting minutes, sign the amended articles before the relevant notarization authorities, and register the changes in the Commercial Register.

The meeting, chaired by Ghada Fathy Ismail Wali, concluded at 6:30 p.m. on October 26, 2026.
