Fairvest Limited, a Johannesburg-listed retail real estate investment trust, has raised R1.25 billion ($76 million) through an oversubscribed equity offering, more than doubling its initial target as institutional investors backed its strategy of expanding shopping centres serving lower-income and commuter communities.

According to the company’s October 16, 2026, announcement, Fairvest will issue 185.19 million new B shares at R6.75 apiece, representing a 2.7% discount to its 30-day volume-weighted average price of R6.94. With the book oversubscribed at this level, the new shares are expected to begin trading on the Johannesburg Stock Exchange on October 23, subject to approval.

Strong demand drives equity raise

Fairvest initially targeted R500 million ($30.34 million) through the accelerated bookbuild managed by Java Capital but increased the offering to R1.25 billion ($75.84 million) following strong institutional demand.

The proceeds will help settle outstanding purchase consideration for recent acquisitions and provide funding for strategic retail properties currently under negotiation.

The capital raise reinforces Fairvest’s transition toward a retail-focused portfolio, with the company disposing of non-core office and industrial assets while expanding its presence in commuter-oriented shopping centres.

South Africa’s township and commuter malls drive expansion strategy

Among its recent acquisitions are Jozini Mall and Tugela Ferry Mall in KwaZulu-Natal, two Shoprite-anchored shopping centres spanning more than 34,000 square metres combined.

Fairvest acquired the properties for R700.4 million ($42.49 million) at an initial yield of 10.17%, strengthening its exposure to community shopping centres serving established commuter corridors.

Shopping centres near taxi ranks and major transport routes now account for approximately 70% of the group’s rental income, reflecting its focus on everyday consumer spending and lower-income retail markets.

Fairvest expands investment portfolio

The latest transaction marks Fairvest’s fourth successful equity bookbuild in 19 months, following raises of R900 million ($54.6 million) in April 2026, R976 million ($59.21 million) in August 2025 and R400 million ($24.27 million) in March 2025. Together, the transactions have brought its cumulative equity capital raised to approximately R3.5 billion ($212.35 million).

Beyond retail property, Fairvest holds a 23.6% stake in Dipula Income Fund and a controlling 55.3% interest in Onepath, a township fibre connectivity provider.

For the six months ended March 31, 2026, Fairvest reported a 12.3% increase in distribution per B share to R0.2594, supported by 8% growth in like-for-like net property income. Dividend contributions from Onepath rose to R37.8 million ($2.29 million) from R3 million ($182,011) a year earlier.

The latest fundraising strengthens Fairvest’s capacity to pursue additional retail acquisitions while expanding its exposure to commuter shopping centres and township infrastructure.
