Oryx Energies, one of Africa’s largest and longest-established independent energy groups, has agreed to sell its downstream businesses in Mali, Côte d’Ivoire and Togo to Niangadou Distribution Compagnie SAU, a Malian energy company seeking to build on its regional presence.

The deal marks another step in Oryx’s review of its African operations as the group reshapes its portfolio. The transaction remains subject to regulatory approvals and other customary closing conditions.

Oryx said its businesses in the three countries would continue operating normally until completion, with no immediate changes to its commitments to customers, commercial partners and the safe, reliable delivery of energy products and services.

Oryx reshapes regional portfolio

The sale forms part of Oryx Energies’ broader strategy to transfer selected downstream businesses to African operators with the local expertise and market knowledge to support their development. The company said the review is intended to align its activities with the group’s long-term priorities across sub-Saharan Africa.

Founded in 1987, Oryx Energies has operated in sub-Saharan Africa for more than 35 years. The group supplies fuels, liquefied petroleum gas, lubricants and related services across more than 20 countries, supported by a retail network of more than 400 service stations.

African ownership gains ground

Oryx Energies recently transitioned to majority African ownership following a reported $975 million management buyout in October 2026, backed by the African Export-Import Bank.

The transaction involved Oryx Energies SA, the holding company of Addax Energy SA, marking a significant ownership shift for the established energy group.

The sale to Niangadou also highlights the role of regional companies in Africa’s petroleum distribution market, where local logistics, supply relationships and knowledge of national markets can shape competition. The transaction would give the Malian group an opportunity to build on established downstream operations in three neighboring West African countries.

Niangadou expands regional footprint

Founded in 2015 and led by Malian businessman Mamadou Niangadou, Niangadou Distribution Compagnie has experience importing, distributing and managing the logistics of petroleum products.

Its regional expertise could provide a foundation for developing the businesses, subject to completion of the transaction and the relevant regulatory approvals.

Neither company disclosed the financial terms of the agreement in the announcement provided. Until the deal closes, Oryx Energies will continue serving customers and partners in Mali, Côte d’Ivoire and Togo, while the transaction advances through the required approval process.
